About HUADIAN POWER Company

Huadian International Electric Power Co., Ltd. (the “Company”), along with its subsidiaries (the “Group”), is one of the largest integrated energy companies in the People's Republic of China (“China”). Its main business is the construction and operation of power plants, including large-scale and efficient coal-fired and gas generators and various renewable energy projects. The Group operates controlled power generation assets in 12 provinces and cities across the country, with an excellent geographical location, mainly in power load centers, heat load centers, or regions rich in coal resources. As of the date of this report, a total of 46 controlled power generation companies have been put into operation by the Group, with a holding installed capacity of 59,818.62 megawatts, mainly including 46,750 megawatts of coal-fired power generation, 10,603.43 megawatts of gas power generation, and 2,459 megawatts of hydroelectric power generation. The Company was incorporated on June 28, 1994 in Jinan City, Shandong Province, China. On June 30, 1999, the Company made an initial public offering of approximately 1.431 billion H shares and was listed on the Hong Kong Stock Exchange Limited (“Hong Kong Stock Exchange”). It successfully issued 0.765 billion A shares in China on February 3, 2005, and listed on the Shanghai Stock Exchange (“Shanghai Stock Exchange”). The non-public offering of 0.75 billion A-shares was completed on December 1, 2009, and listed on the Shanghai Stock Exchange. The non-public offering of 0.6 billion A-shares was completed on July 3, 2012, and listed on the Shanghai Stock Exchange. The non-public offering of 1.15 billion A shares was completed on July 18, 2014, and listed on the Shanghai Stock Exchange. The placement of approximately 0.286 billion H shares was completed on July 30, 2014, and listed on the Hong Kong Stock Exchange. The non-public offering of approximately 1.056 billion A-shares was completed on September 8, 2015, and listed on the Shanghai Stock Exchange. The non-public offering of approximately 6.8816 million A shares and 14,701,590 convertible corporate bonds was completed on September 28, 2021, and listed on the Shanghai Stock Exchange. On June 1, 2023, 14,701,590 convertible corporate bonds were converted into 0.358 billion A shares and listed on the Shanghai Stock Exchange. The current total share capital is 10,227,561,133 shares, of which 8,510,327,533 A shares account for about 83.21% of the Company's current total share capital; 1,717,233,600 H shares account for 16.79% of the current total share capital of the Company. As of December 31, 2024, the total number of regular employees in the Group was 25,093.
